Terms of Service

1. Introduction

Welcome to Ghostchain Network, operated by Greenhouse Labs LLC ("Ghostchain," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Ghostchain platform, websites, applications, and widgets (the "Platform"). By creating an account, connecting a wallet, or using any part of the Platform, you agree to these Terms.

If you do not agree, do not use the Platform.

2. Eligibility and Accounts

• Minimum age: 16. If you are under 18, you must have a parent or guardian review these Terms with you.
• You are responsible for your account security, including email and any connected wallets. Do not share your passwords, private keys, or seed phrases with anyone.

3. Roles

• Creators: upload or stream content and may monetize.
• Users: view, engage with, and support creators.
• Moderators: enforce community standards.
• Administrators: operate the Platform.

4. Wallets and Authentication

• You may sign up by email and optionally connect supported wallets (for example: Yoroi, Lace, Eternl).
• Wallets are required only for blockchain features such as token rewards, gated access, and crypto tipping.
• Ghostchain does not request, store, or have access to private keys or seed phrases.

5. Non-custodial Payments and Platform Fees

• Ghostchain does not custody fiat or cryptocurrency on behalf of users.
• Fiat payments are processed by third-party payment processors such as Stripe Connect. Platform and payout splits are handled by the processor at the time of charge.
• Cryptocurrency payments are peer-to-peer. Where applicable, a single user-signed on-chain transaction may include two outputs: one to the creator and one to Ghostchain for a platform fee.
• We may change fee percentages or amounts with notice by updating the Platform and these Terms.

6. Stripe Connect and Creator Payouts

• Creators who accept fiat payments must onboard to Stripe Connect and agree to Stripe's Connected Account Agreement.
• Stripe may perform identity verification, sanctions screening, and tax reporting. Stripe may impose reserves, holds, and payout schedules.
• Ghostchain does not control Stripe's timelines or decisions.

7. Refunds, Chargebacks, and Access Revocation

• Refunds for subscriptions and pay-per-view are subject to the event's or product's refund policy posted at checkout.
• Chargebacks are handled by the payment processor. If a chargeback is granted, access to associated content may be revoked.
• If Ghostchain or the processor issues a refund, creators may owe back the refunded amount and associated fees or adjustments.

8. Taxes and Marketplace Responsibilities

• Prices shown to users may include applicable taxes where required. We may collect and remit sales or use tax on digital goods and subscriptions when required by law.
• Creators are responsible for their own income taxes.
• For fiat payouts, processors may issue tax forms such as 1099s where applicable.

9. Creator Ownership and License

• Creators retain full ownership of their uploads and streams.
• By submitting content to the Platform, creators grant Ghostchain a limited, non-exclusive, revocable, worldwide license to host, cache, transcode, stream, display, and promote the content on the Platform to provide discovery and playback.
• This license ends when the creator deletes the content from the Platform, except for archival or legal retention copies kept for a limited period as required by law or to resolve disputes.

10. Ghostchain Originals

• Content produced by Ghostchain, or co-produced under a separate written agreement, is designated a Ghostchain Original. Ownership and revenue participation for Ghostchain Originals are governed by the applicable written agreement.
• Ghostchain Originals are not covered by the general creator license above.

11. Acceptable Use

• You must follow the Acceptable Use Policy. Violations can result in content removal, account restrictions, or termination.

12. Sanctions and Export Controls

• You may not use the Platform if you are located in, under the control of, or a national or resident of any embargoed country or region, or if you are on any U.S. government list of prohibited or restricted parties.
• Ghostchain may block access, withhold benefits, or terminate accounts to comply with sanctions and export laws.

13. User Content, DMCA, and Repeat Infringers

• We respect intellectual property rights. If you believe your rights have been infringed, follow our DMCA Policy.
• We may terminate accounts of repeat infringers.

14. Communications: Email and SMS

• By providing contact information, you may receive service and account messages.
• Marketing emails and texts require your consent and can be withdrawn at any time. See the Email and SMS Consent Policy for details.

15. Disclaimers

• The Platform is provided "as is" and "as available." We do not promise uninterrupted or error-free service.
• We may change or discontinue features at any time.

16. Limitation of Liability

To the fullest extent allowed by law, Ghostchain and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

17. Indemnity

You agree to indemnify and hold Ghostchain harmless from claims arising from your content, your use of the Platform, or your violation of these Terms or applicable law.

18. Termination

• We may suspend or terminate access for any violation of these Terms, the AUP, or applicable law. You may stop using the Platform at any time.
• Sections that by their nature should survive termination will survive.

19. Governing Law, Venue, and Dispute Resolution

• These Terms are governed by Colorado law, without regard to conflicts of law rules.
• Venue for disputes is the state or federal courts located in Denver County, Colorado.
• Optional: add arbitration and class-action waiver after counsel review.

20. Changes to Terms

We may update these Terms by posting a revised version with a new date. Continued use after the effective date constitutes acceptance.
